1

Definitions

1.1Shoutt: Shoutt International Ltd, the operator of the Shoutt platform.
1.2Platform: The website and services operated by Shoutt at shoutt.co, providing permanent job search assistance including job matching, application support, interview preparation, and salary negotiation tools.
1.3User: Any individual who creates an account on the Platform.
1.4Relay Address: A unique email address created and operated by Shoutt and assigned to the User for the purpose of sending and tracking job applications. The Relay Address is a Shoutt-controlled address. Employers and third parties who correspond with it are contacting a Shoutt-operated service.
1.5Qualifying Role: A permanent employed or contract position at a company to which the User submitted an application via the Platform, where the User subsequently accepts an offer of employment at that company within 6 months of the date of that application.
1.6Success Fee: A fee of 1% of the User's confirmed or estimated annual gross salary in a Qualifying Role, payable to Shoutt upon placement.
1.7Placement: The event of a User accepting an offer of employment in a Qualifying Role, as detected by Shoutt through the Relay Address, LinkedIn monitoring, or other signals, or as confirmed by the User.
2

Platform Services

2.1Shoutt provides an end-to-end permanent job search service. This includes job discovery, application drafting, interview preparation, and salary negotiation support.
2.2Shoutt does not act as a recruitment agency, employment intermediary, or staffing provider. Shoutt does not guarantee employment outcomes or the availability of any specific role.
2.3The User is responsible for reviewing and approving all application content before submission. The User presses submit on all applications. Shoutt does not submit applications on the User's behalf without their instruction.
2.4Shoutt reserves the right to modify, suspend, or discontinue the Platform at any time with reasonable notice. In the event of permanent discontinuation, any outstanding Relay Address monitoring obligations will be fulfilled for a period of 6 months from the date of discontinuation notice.
3

The Relay Address

3.1Shoutt will create and assign a unique Relay Address to each application. This address is used to send job applications and to receive and process correspondence from employers and recruiters on the User's behalf.
3.2By accepting these Terms, the User grants Shoutt permission to:
  • Create and operate the Relay Address in connection with the User's job search;
  • Send, receive, and process emails transmitted through the Relay Address;
  • Analyse the content of those emails for the purpose of detecting Placements, tracking application status, and providing Platform services;
  • Retain email content in accordance with the data retention provisions in clause 10 and the Privacy Policy.
3.3The Relay Address is a Shoutt-operated address. Users must not represent it as a personal email address for any purpose other than job applications made through the Platform.
3.4Shoutt processes email content solely for the purposes set out in clause 3.2. Email content is not used for advertising, sold to third parties, or used to train AI models without separate explicit consent.
4

Success Fee

4.1A Success Fee becomes payable when a Placement occurs. The Success Fee is 1% of the User's confirmed annual gross salary in the Qualifying Role.
4.2Shoutt will notify the User when a Placement is detected. The notification will set out the company, the estimated or confirmed salary, and the Success Fee amount.
4.3The User has 14 days from the date of the Placement notification to dispute it. A dispute must be submitted to [email protected] and must include the basis for the dispute. If no dispute is received within 14 days, the Placement is treated as confirmed and the Success Fee becomes due.
4.4If the User disputes a Placement, Shoutt will review the dispute and respond within 5 working days. Shoutt's determination is final unless the User escalates to the dispute resolution process in clause 12.
4.5A Placement is a Qualifying Role where: (a) the User submitted an application to that company via the Platform; and (b) the User accepted employment at that company within 6 months of that application. The existence of concurrent applications through other channels does not affect Shoutt's entitlement to the Success Fee where these conditions are met.
5

Salary Confirmation and Estimation

5.1When a Placement is confirmed or deemed confirmed, Shoutt will request that the User provide: (a) their confirmed annual gross salary; and (b) the date of their first paycheck.
5.2The User must provide this information within 14 days of the request. Failure to provide salary confirmation within this period entitles Shoutt to calculate the Success Fee based on an estimated annual salary. The estimate will be derived from a recognised market salary source using roles of equivalent title, seniority, and location.
5.3Where Shoutt uses an estimated salary, it will notify the User of the estimated figure and the source used. The User may provide confirmed salary information within 7 days of that notification to correct the estimate, after which the confirmed figure will be used.
6

Payment

6.1When a User is invited to an interview for a role applied to via the Platform, access to interview preparation materials for that role requires the User to provide valid payment card details. No charge is made at this point.
6.2Card details captured under clause 6.1 are held solely as security for the Success Fee that will become payable upon Placement. The User acknowledges at the point of card capture that a Success Fee will be charged to that card upon Placement in accordance with these Terms.
6.3The Success Fee will be charged approximately 3 days after the User's first paycheck date, as confirmed or estimated under clause 5. The User may request a payment deferral of up to 14 days by contacting [email protected] before the charge date.
6.4If the card charge is declined, Shoutt will notify the User. The User must provide alternative valid payment details within 14 days. Failure to do so entitles Shoutt to pursue recovery of the debt by any available means, including legal proceedings.
6.5The Success Fee is a simple contract debt. Shoutt reserves the right to recover unpaid Success Fees through the courts, including the County Court. Shoutt also reserves the right to charge statutory interest on overdue amounts.
6.6All amounts are stated inclusive of VAT where applicable.
7

Redundancy Refund

7.1If a User is made redundant from a Qualifying Role within 3 months of their confirmed start date, Shoutt will provide a full refund of the Success Fee paid in respect of that role.
7.2To claim a refund under this clause, the User must: (a) notify Shoutt at [email protected] within 30 days of the redundancy taking effect; and (b) provide documentary evidence of redundancy, such as a letter from the employer confirming termination by reason of redundancy.
7.3The refund will be processed within 14 days of Shoutt receiving satisfactory evidence. The refund will be made to the original payment method where possible.
7.4This clause applies to genuine redundancy only. Termination for performance, conduct, resignation, or any other reason does not qualify for a refund.
7.5Where a User receives a redundancy refund and subsequently secures a further Qualifying Role, a new Success Fee will be payable in respect of that role.
8

User Obligations

8.1The User must: (a) provide accurate and complete information when creating their account and throughout their use of the Platform; (b) use the Relay Address only for job applications made through the Platform; (c) notify Shoutt promptly upon accepting a job offer at any company to which they applied via the Platform; (d) provide salary confirmation and paycheck date as required under clause 5; and (e) maintain valid payment details on the Platform from the point of interview unlock.
8.2The User must not: (a) misuse or misrepresent the Relay Address; (b) provide false information regarding employment status, salary, or redundancy; (c) attempt to circumvent the Success Fee by any means. Knowingly providing false information to avoid a Success Fee may constitute fraud and will be reported to the relevant authorities.
8.3The User is responsible for the accuracy and legality of all content included in applications submitted through the Platform. The Platform may only be used for the purpose of conducting a job search through Shoutt. Users must not use the Platform solely to discover job opportunities and then apply to those roles independently, outside of the Platform, in order to circumvent the Success Fee. Where Shoutt has reasonable grounds to believe a User has done this, Shoutt reserves the right to treat any resulting employment as a Qualifying Role for the purposes of the Success Fee, to immediately disable the User's account, and to pursue recovery of the Success Fee by any available means.
9

Account and Access

9.1Users must create an account to access the Platform. Users are responsible for maintaining the security of their login credentials.
9.2Shoutt reserves the right to suspend or terminate accounts that violate these Terms without notice. This includes, without limitation, accounts where there is reasonable evidence that the User has used the Platform to discover roles and applied to them independently outside of the Platform. No refund of any Success Fee already paid will be made where an account is suspended or terminated for breach of these Terms.
9.3Users may close their account at any time via their account settings. Closure of an account does not affect any Success Fee obligations that have already arisen or that arise within 6 months of a Platform application made before closure.
10

Data, Privacy, and Retention

10.1Shoutt processes personal data in accordance with its Privacy Policy, which forms part of these Terms. By accepting these Terms, the User also accepts the Privacy Policy.
10.2Shoutt will retain User data, including CV content, application history, and Relay Address email content, for the duration of the User's active account and for 12 months following account closure or the account becoming inactive, whichever is earlier.
10.3Users may request deletion of their data at any time by contacting [email protected]. Deletion requests will be fulfilled within 30 days, subject to a 6-month minimum retention period from the User's last application. Data that Shoutt is required to retain for legal or contractual reasons (including evidence relevant to an outstanding or potential Success Fee) will be retained for the minimum period necessary.
10.4Shoutt uses LinkedIn and other publicly available signals solely to detect Placement events and to prompt confirmation in accordance with clause 4. This monitoring is conducted under Shoutt's legitimate interests and does not constitute automated decision-making that produces legal effects without human review. No charge is triggered automatically without the notification and dispute window in clause 4.3.
11

Limitation of Liability

11.1Use of the Platform is at the User's own risk. Shoutt does not guarantee employment outcomes, interview invitations, or salary levels.
11.2Shoutt is not liable for: (a) the accuracy or availability of third-party job listings; (b) non-responsiveness or rejection from employers; (c) any financial loss arising from reliance on Platform content; or (d) temporary outages or service interruptions.
11.3To the extent permitted by law, Shoutt's total liability to the User in connection with these Terms shall not exceed the amount of any Success Fee paid by the User to Shoutt in the 12 months preceding the relevant claim.
12

Disputes

12.1In the event of a dispute regarding a Placement, Success Fee, or any other matter under these Terms, the User must first contact Shoutt at [email protected] and allow Shoutt 10 working days to attempt resolution.
12.2If the dispute is not resolved within that period, either party may refer it to an alternative dispute resolution provider agreed between the parties, or commence proceedings in the courts of England and Wales.
12.3These Terms are governed by the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction over any dispute arising under them. Users based in other jurisdictions are not prevented from bringing claims in their local courts, and Shoutt reserves the right to bring proceedings in any court of competent jurisdiction.
13

Changes to Terms

13.1Shoutt may update these Terms from time to time. Where changes are material, Shoutt will notify Users by email at least 14 days before the changes take effect. Continued use of the Platform after that date constitutes acceptance of the revised Terms.
14

General

14.1These Terms, together with the Privacy Policy, constitute the entire agreement between Shoutt and the User in respect of the Platform.
14.2If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
14.3Shoutt's failure to enforce any provision of these Terms does not constitute a waiver of that provision.
